Terms of Service
Terms governing your use of the neiron.technology website and engagement with Neiron Technology OÜ services.
1. Acceptance of terms
By accessing or using neiron.technology you agree to be bound by these Terms of Service. If you do not agree, please do not use this website. These Terms apply to all visitors, prospects, and clients of Neiron Technology OÜ.
2. Services offered
Neiron Technology OÜ provides two distinct service streams:
- Industrial engineering services: chemical water treatment (IMWTP methodology), SCADA/PLC boiler room dispatching, equipment supply (FlexHMI, Neuron S1, KVEP-16, Neurolink M1, GPS/NTP), design, installation, commissioning, and maintenance — primarily for industrial clients across the European Union.
- Digital services: digital strategy, corporate web development, technical SEO, and growth retainers — primarily for industrial, aerospace, and engineering B2B brands.
3. Website usage
This website provides informational content about our services. Contact form submissions do not constitute a binding offer or contract. Engagement begins only upon mutual written agreement (email or signed contract) detailing scope, deliverables, timelines, and pricing.
4. Quotations and contracts
All quotations are valid for 30 days from the date of issue unless otherwise specified. Final pricing depends on technical survey and clarification of requirements. Contracts are formed in writing (email is sufficient for orders under €5,000; written agreement required above).
5. Payment
Payment terms are specified in individual contracts and quotations. Default terms for new B2B clients: 50% advance on order confirmation, 40% on delivery, 10% on commissioning acceptance. All prices are exclusive of VAT (added at the applicable rate). Late payments accrue interest at the rate prescribed by Estonian law (currently base rate + 8%).
6. Intellectual property
All website content (text, images, designs, code) is the property of Neiron Technology OÜ. For service deliverables, intellectual property rights transfer to the client upon full payment, except for our underlying methodologies, tools, code libraries, and pre-existing know-how which remain our property and may be reused.
7. Warranties and disclaimers
For industrial engineering deliverables: standard warranty is 24 months on equipment and 12 months on installation work from the date of commissioning acceptance, subject to operation within specified parameters and the maintenance contract terms.
For digital services: deliverables are warranted to perform as specified for 90 days post-launch, after which the Growth Retainer service is available.
Hardware products with digital elements (FlexHMI, Neuron S1, KVEP-16, Neurolink M1, GPS/NTP gateway) are designed in alignment with the EU Cyber Resilience Act (Regulation 2024/2847) requirements applicable from 2026: vulnerability handling, security updates, and risk assessment documentation are provided as part of delivery and maintenance contracts.
The website itself is provided "as is" without warranties of any kind. We make no representation that website content is error-free or uninterrupted.
8. Limitation of liability
To the maximum extent permitted by Estonian and EU law, Neiron Technology OÜ's total liability arising from any contract or website usage is limited to the total amount paid by the client to Neiron Technology OÜ in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profit or business interruption.
This limitation does not apply to liability for gross negligence, wilful misconduct, or personal injury, where mandatory law overrides.
9. Confidentiality
Both parties (Neiron Technology OÜ and the client) treat confidential information exchanged during commercial engagements with reasonable care, not less than the care applied to their own confidential information. Confidentiality obligations survive contract termination for 5 years.
10. Termination
Either party may terminate ongoing services with 30 days written notice. Outstanding work delivered before termination remains payable. Project-based contracts terminate upon delivery and acceptance of all deliverables, subject to warranty periods.
11. Force majeure
Neither party is liable for delays or failures due to events beyond reasonable control, including but not limited to acts of God, war, government regulation, supplier failure, energy shortages, internet outages, or pandemics. The affected party must notify the other within 7 days of becoming aware of the event.
12. Governing law and jurisdiction
These Terms and any commercial relationship between Neiron Technology OÜ and the client are governed by the laws of the Republic of Estonia and applicable European Union law. The exclusive place of jurisdiction is Tallinn, Estonia, unless mandatory consumer-protection provisions provide otherwise. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
13. Changes to these terms
We may update these Terms of Service from time to time. Changes are effective upon publication on this website and apply to relationships formed after that date. Existing contracts continue under the Terms in force at the time of contract formation unless both parties agree to update.
